I found this hint on how to do the upgrade. It does require two (2) installs. The first time, UNCHECK the product key field and bypass anything that requests a key - confirm you have a valid key when asked. Then redo the upgrade within that VM.

I guess this'll work. It's got over 1700 diggs & I see nobody complaining... Now let's hope it will be as easy to change Windows Vista Starter to Ultimate... (which I guess it will since it's the same disc) (I'm sorry for the flashy blue background; didn't found a workaround for that ...)
