Seit der GmbH-Novelle von 1980 ist das GmbH Gesetz (GmbHG) weitgehend unverändert geblieben. Das Bundeskabinett hat am 23. Mai 2007 den „Entwurf eines Gesetzes zur Modernisierung des GmbH-Rechts und zur Bekämpfung von Missbräuchen (MoMiG)“ beschlossen, das das GmbHG an zahlreichen Stellen den veränderten Rahmenbedingungen anpassen und Neuerungen in das GmbHG einführen will. Der Gesetzentwurf wurdezunächst dem Bundesrat zugeleitet, de eine Stellungnahme mit einigen Änderungsvorschlägen vorlegte (BR-Drs. 354/07(B)). Mittlerweile liegen der Gesetzentwurf und die Stellungnahme der Bundesregierung dem Bundestag vor (BT-Drs. 16/6140).
