I found this hint on how to do the upgrade. It does require two (2) installs. The first time, UNCHECK the product key field and bypass anything that requests a key - confirm you have a valid key when asked. Then redo the upgrade within that VM.

It's still not too pretty, but it allows you to install an upgrade copy of Vista without dealing with older versions of Windows.</DIV>

Can anyone with upgrade copies of Vista confirm if this method works in Parallels and gets around the ACPI requirement?</DIV>
